1. Introduction

Welcome to Perfect Business AI (“Perfect Business AI,” “we,” “us,” or “our”), accessible at https://perfectbusinessai.com. By accessing, purchasing, or using our website, platform, or services, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not use our services.

These Terms constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Perfect Business AI.

2. Use of Website and Services

You agree to use our website and services only for lawful purposes. You may not:

  • Violate any applicable laws or regulations
  • Attempt to disrupt, damage, reverse engineer, or interfere with our systems
  • Access services or data not explicitly authorized to you

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

3. Services

Perfect Business AI provides digital marketing, automation, and AI-based services, including but not limited to:

  • Content Marketing
  • Sales Funnels & Email Marketing
  • SEO (Search Engine Optimization)
  • Website Design, Development, and Optimization
  • Chatbots and AI Voice/Text Bots
  • CRM Solutions
  • Google Ads Management
  • Google Reputation Management
  • Ecommerce & Shopping Cart Solutions

Services are subject to availability and may be modified, replaced, or discontinued at any time without notice.

4. Payment Terms & No Refund Policy

By purchasing services from Perfect Business AI, you agree to provide accurate and complete billing information.

  • Payments are due upon invoice or according to the payment schedule agreed upon at purchase.
  • All fees are non-refundable, including but not limited to subscription fees, setup fees, onboarding fees, usage-based fees, and partial billing periods.
  • No refunds or credits will be issued for unused services, early termination, or business outcomes.

Failure to remit payment may result in suspension or termination of services.

5. Cancellation & Termination of Services

5.1 Cancellation Notice Requirement

Clients may cancel services only by submitting a written request through Perfect Business AI’s official cancellation form.

  • A minimum of sixty (60) days’ written notice is required.
  • Billing continues during the 60-day notice period regardless of usage.
  • Cancellation requests made by email, phone, SMS, or verbal communication are not valid.

5.2 Account Status & Offboarding

Upon submission of a valid cancellation request:

  • The account will be marked “Canceled – Pending Offboarding.”
  • Services remain active during the notice period unless otherwise agreed in writing.
  • Upon completion of the notice period and payment of all outstanding balances, the account will be marked “Inactive – Canceled.”

6. Phone Numbers, Messaging & Communication Services

Upon final account deactivation:

  • All phone numbers, call tracking, SMS, voice, and messaging services will be permanently disabled.
  • Phone numbers are not retained or transferable unless explicitly purchased or ported prior to cancellation.
  • Perfect Business AI is not responsible for lost calls, leads, revenue, or business interruption resulting from service deactivation.

7. Website Files & Data Delivery

Following cancellation and settlement of all balances:

  • Clients will receive a ZIP archive of their website files, excluding proprietary systems, licensed assets, templates, automations, and internal frameworks owned by Perfect Business AI.
  • Delivery timelines are reasonable but not guaranteed to be immediate.

8. Domain Ownership & Transfer

If Perfect Business AI owns or manages your domain:

  • You may purchase the domain for $129 USD.
  • The purchase must be completed within ninety (90) days of cancellation.
  • If not purchased within this period, Perfect Business AI may release, reuse, or auction the domain without further obligation.

9. Ownership of Systems & Intellectual Property

Perfect Business AI retains full ownership of all proprietary systems, software, workflows, automations, AI agents, prompts, templates, scripts, methodologies, and frameworks used to deliver services.

Clients are granted a limited, non-transferable, revocable license to use these systems only while their account remains active and in good standing.

Upon cancellation or termination, all licenses immediately revoke, and continued use is strictly prohibited.

10. Data Retention & Deletion

Following final account deactivation:

  • Perfect Business AI has no obligation to retain client data beyond a reasonable offboarding period.
  • Clients are responsible for requesting and downloading any deliverables in a timely manner.
  • Data may be permanently deleted without further notice after offboarding is completed.

11. Reactivation Policy

If a canceled client later requests reactivation:

  • A $400 reactivation/onboarding fee will apply.
  • Prior configurations, data, phone numbers, and automations are not guaranteed to be preserved.
  • Reactivation is subject to availability, feasibility, and current pricing.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Perfect Business AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, leads, phone calls, or business interruption.
  • Total liability shall not exceed the total amount paid by the client in the three (3) months preceding the event giving rise to the claim.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Arizona.

14. Right to Modify or Terminate Services

Perfect Business AI reserves the right to:

  • Modify, suspend, or terminate services for violations of these Terms
  • Deny service or reactivation at its sole discretion
  • Update pricing, policies, or service structures with reasonable notice

Continued use of services constitutes acceptance of updated Terms.
